HIVE – Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of HIVE’s (“we”, “us”, or “our”) technical support services. Please read these Terms carefully before using any of our services.
1. Acceptance of Terms
By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree to all of the Terms, you may not use any of our services.
2. Eligibility
You must be at least 18 years old and resident in the United States to use our services. You may not use our services if you are prohibited by law from doing so.
3. Services
We provide live, voice-to-voice technical support services for a variety of devices and software applications. The specific services offered may change from time to time, and we will make reasonable efforts to inform you of any changes.
4. Payment
Our services are available for a subscription fee. You are responsible for paying all fees associated with your subscription in accordance with our billing terms. We may change our fees at any time, but we will provide you with reasonable notice (at least the duration of one full billing cycle, i.e. 30 days) of any such changes.
5. User Responsibilities
You are responsible for ensuring that the information you provide to us is accurate and complete. You must not use our services for any illegal or unauthorized purpose. You are also responsible for protecting your own access credentials and for any activity that occurs under your account.
6. Service Limitations
We cannot guarantee that our services will be uninterrupted or error-free. We are not responsible for any damages caused by the use of our services, including, but not limited to, data loss, property damage, personal injury, or death.
7. Intellectual Property
All content and materials associated with our services are the property of HIVE or its licensors. You may not use any of our content or materials without our prior written permission.
8. Termination
We may terminate your use of our services for any reason or no reason at any time without notice. You may also terminate your use of our services at any time.
9. Disclaimer of Warranties
Our services are provided “as is” and without any warranties of any kind, express or implied. We disclaim all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of our services. Your recoverable damages for any claims you may have against us shall be limited to the total of all fees (including, without limitation, all subscription fees) paid by you to us.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the Commercial Rules of the American Arbitration Association. The arbitration shall be held in New York City, New York, and the award of the arbitrator shall be final and binding on you and us, and non-appealable by you or us.
12. Entire Agreement
These Terms constitute the entire agreement between you and us regarding your use of our services. Any prior or contemporaneous communications or agreements, whether oral or written, are superseded by these Terms.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be stricken and the remaining provisions shall remain in full force and effect.
14. Waiver and Amendment
No waiver or amendment of any provision of these Terms shall be effective unless in writing and signed by us.
15. Notices
All notices required or permitted hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier, addressed as follows:
